Borrower’s Counsel Opinion for North Dakota and Minnesota Transactions
A borrower’s counsel opinion is not window dressing. Lenders ask for it to confirm that the loan documents will be enforceable under the law that actually governs the collateral and the borrower. In commercial real estate financing, that usually means an enforceability opinion from a North Dakota or Minnesota lawyer when in‑state real property, fixtures, minerals, or personal property are part of the security package.When a Borrower’s Counsel Opinion is Needed
Lenders typically require local counsel opinions when the collateral sits in North Dakota or Minnesota, the borrower is organized under one of these states, or key mortgage and UCC filings must be made here. This occurs in acquisitions, refinancings, construction loans, loan modifications, and mezzanine or holdco structures that include mortgages, assignments of leases and rents, security agreements, fixture filings, and related UCC financing statements. In North Dakota, transactions often involve mineral interests, produced hydrocarbons, saltwater disposal facilities, or midstream easements. Those assets bring additional recording and perfection issues that out‑of‑state counsel expect local counsel to address.What Our Enforceability Opinions Cover

In North Dakota, secured transactions are codified at N.D.C.C. ch. 41‑09 and mortgages at N.D.C.C. ch. 35‑03, with recording requirements in N.D.C.C. ch. 47‑19. In Minnesota, the UCC appears at Minn. Stat. ch. 336, art. 9, and real property conveyancing and recording are addressed in Minn. Stat. ch. 507, with registered land issues governed by Minn. Stat. chs. 508 and 508A. We also opine, where appropriate, on perfection of security interests in fixtures and as‑extracted collateral, the effectiveness of fixture filings, and the sufficiency of UCC debtor names and collateral descriptions. Usury and interest limitations are considered in light of N.D.C.C. ch. 47‑14 and Minn. Stat. ch. 334, along with applicable federal preemption for banks and licensed lenders. Choice‑of‑law, forum selection, jury trial waiver, and arbitration provisions are evaluated against North Dakota and Minnesota contract law and public policy.Why Local Counsel Matters

North Dakota’s severed mineral estates, pooling orders, and pipeline easements can complicate legal descriptions, priority, and the scope of a mortgage. Minnesota’s Torrens system imposes different recording and notice rules for registered land than for abstract property. Mortgage registration and deed taxes in Minnesota require coordination with the title company and recorder to avoid last‑minute setbacks. Counties in both states vary in e‑recording procedures and turnaround times. A lender’s national form rarely accounts for these details.
